Cody Dumas represents businesses and healthcare organizations in corporate transactions, restructurings, governance matters, and complex commercial disputes. He advises owners and executive leadership on issues that shape the direction, stability, and long-term performance of their organizations, from formation and growth through periods of transition and strategic change.

Mr. Dumas began his legal career in-house within a vertically integrated healthcare enterprise and later served as Chief Legal Officer of a rapidly growing Houston-based health system. That executive experience informs his counsel today. He approaches each engagement with an understanding of how legal strategy affects operations, financial performance, regulatory exposure, and organizational culture.

He is frequently engaged during moments of inflection—whether expansion, ownership change, financial strain, or internal realignment—providing steady, commercially grounded advice that aligns legal solutions with business objectives. In addition to his transactional and restructuring practice, Mr. Dumas serves as outside general counsel to companies seeking ongoing strategic guidance without maintaining a full-time legal department.

Representative Matters

  • Directed the strategic divestiture of assets and operations for a multi-location healthcare group, preserving enterprise value and averting bankruptcy through negotiated lender resolutions and structured asset transitions and divestments.
  • Led the corporate restructuring of a regional health system comprised of microhospitals and affiliated family practice groups, including the design and implementation of a Management Services Organization (MSO) framework to centralize administrative functions and stabilize financial performance.
  • Negotiated and executed a global debt restructuring that reduced approximately $40 million in exposure to less than $15 million, while coordinating the orderly divestment of multiple international operating entities.
  • Designed and implemented multi-tiered corporate structures supporting the launch of a closed healthcare delivery system focused on discount medical services and direct primary care, aligning regulatory compliance with operational scalability.
  • Retained as an expert witness regarding medical billing practices involving Letters of Protection (LOP) accounts, including customary charge analysis and reimbursement methodologies.
  • Provided court-ordered expert testimony concerning the protection and non-disclosure of physician and hospital financial and contractual data in response to the Texas Supreme Court’s decision in In re North Cypress Medical Center Operating Co., Ltd.
